The TGS Legal department is, together with the TGS Compliance, Internal Audit and Sustainability functions, part of the Business Unit Legal & Sustainability led by the General Counsel. The department has 10 lawyers in Houston, Oslo, London and Dubai and supports the different TGS Business Units within a wide specter of business-related law.

 

Job Summary:

The Senior Counsel will be part of a global team of lawyers and report to the General Counsel.  The responsibility for legal matters will be concentrated to TGS’s affairs in Norway, Europe & Asia Pacific (Eurasia), although there will be opportunities to work on matters outside of the Eurasia region. The Senior Counsel will participate in a global Legal team and provide legal support in an international environment on a variety of legal matters, providing legal support for all company activities originating from Oslo office and from the Eurasia team. In this role, the Senior Counsel will be responsible for advising and ensuring compliance with relevant laws, policies, and regulations to protect the company's interests and mitigate risk. Additionally, the Senior Counsel will collaborate globally with the Legal team on cross-regional projects, extending their expertise and support beyond the Eurasia region. This position requires strong legal acumen, leadership, and the ability to navigate complex, multinational projects.

 

Duties and Responsibilities:

  • Provide legal advice on legal matters originating in the Eurasia region, including but not limited to reviewing and negotiating sales contracts for seismic data acquisition and licensing, supplier arrangements, and other business-related documents, providing legal advice on joint ventures, corporate transactions, governance, HR matters, commercial contracts and compliance, and managing dispute resolution matters.
  • Provide support for the legal entities incorporated within the region, ensuring regulatory compliance and risk mitigation.
  • Identify when to engage external counsel on specialized matters, and oversee the relationships with such counsel, including selection, engagement, and performance assessment to ensure effective and cost-efficient legal representation.
  • Collaborate with global legal counterparts and other business units to support regional and global initiatives, participate in cross-border projects, and maintain a cohesive approach to company-wide legal strategies.
  • Manage ad hoc projects as they arise, ensuring timely and strategic input on legal aspects of business initiatives.
  • Design and deliver regular legal training sessions for regional company personnel on relevant legal topics, including effective contracting and legal, regulatory and compliance requirements, to build awareness and mitigate risk across business functions.
  • Systematically report to the General Counsel based in Houston, providing updates on legal matters, major issues, risks, and significant projects. Ensure regular communication and alignment with the General Counsel on strategic and operational priorities.
  • Monitor and stay informed of legal developments and regulatory changes impacting the Eurasia region, proactively advising on necessary changes to business practices or compliance measures.
  • Support mergers, acquisitions, and other strategic transactions by providing due diligence, structuring advice, and legal risk assessment to contribute to successful and compliant business growth.

 

Job Requirements:

  • Master in law or similar.
  • Qualified to practice law in Norway or another jurisdiction, ideally with a strong background in commercial and corporate law. Experience in the energy sector is preferred but not required. If qualified to practice law in a jurisdiction other than Norway., the candidate must have familiarity with Norwegian law.
  • Minimum 5-10 years relevant business law work experience, but candidates with somewhat shorter experience may also be considered.
  • Experience in a similar role, ideally within a multinational organization.
  • Experience in one or several of the following special fields is preferred: Contract law (including contract drafting and negotiation), corporate and securities law, M&A, or regulatory matters such as data protection.

 

Qualifications:

  • Strong business acumen and strategic mindset, performing all duties with integrity and professionalism whilst taking a pragmatic and risk-based approach to challenges and problems.
  • Analytical with strong communication skills, both written and oral, and excellent drafting skills.
  • Ability to gain and maintain trust and confidence of business teams by providing sound advice and creative solutions.
  • Ability to manage and organize priorities and workload and contribute effectively to the global Legal Department.
  • Ability to work autonomously without substantial oversight.
  • Strong ability to communicate and draft in English.
